1. Introduction
Welcome to Mindful Career Inc. (“Mindful Career,” “we,” “us,” or “our”). These Terms and Conditions of Use (“Terms”) govern your access to and use of the Mindful Career website and booking platform powered by GoDaddy.com LLC (“GoDaddy”), as well as the career counseling, career advisory, coaching, assessment, and related services offered through the Platform.
By booking, clicking to accept, accessing, browsing, purchasing, or using the Platform or Services, you agree to be bound by these Terms, including our Cancellation, Rescheduling, and Refund Policy and GoDaddy’s Universal Terms of Service, which is incorporated by reference.

If you do not agree to these Terms in full, you are not authorized to access or use the Platform or Services.
2. Eligibility and User Certification
By using the Platform, you represent and warrant that:
You acknowledge that Mindful Career relies on the accuracy of the information you provide in order to offer Services.
3. Scope of Services and Content
The Services, including career counseling, career advisory, coaching, assessments, advice, reports, materials, or other content made available through the Platform, are intended for career development, educational, and informational purposes.
Unless expressly stated otherwise in writing for a specific engagement, Mindful Career does not provide medical, psychiatric, psychological treatment, psychotherapy, emergency mental-health services, legal, financial, tax, or investment advice through its U.S. career services.
The Services are not a substitute for medical care, psychotherapy, psychiatric treatment, crisis intervention, legal advice, financial advice, or other licensed professional services outside the scope expressly agreed upon.
Mindful Career does not guarantee career advancement, income increases, job placement, admission to an educational institution, promotions, financial outcomes, or specific employment results.
4. Acceptable Use
You agree not to:
Mindful Career reserves the right to monitor usage and remove, block, suspend, or terminate access at its discretion, subject to applicable law.
5. Fees and Payments
All fees for Services (“Fees”) are due and payable in advance or in accordance with the payment plan selected at the time of purchase.
Except as expressly provided in Section 7, Fees attributable to Services already rendered are non-refundable, except to the extent otherwise required by applicable law.
You authorize Mindful Career to charge your provided payment method for scheduled sessions, program purchases, payment plan installments, applicable taxes, missed-session charges, recurring payments where applicable, and any other amounts properly due under these Terms.
Mindful Career may update Fees for future bookings or purchases at its discretion.
Mindful Career may allocate a portion of payments to independent professionals engaged to deliver Services. Mindful Career provides the Platform, scheduling, administrative support, program infrastructure, and related services.
Where you purchase a program or package, including under a payment plan, you acknowledge and agree that you are purchasing a structured program or package and not individual sessions on a session-by-session basis.
A payment plan is offered solely as a payment convenience and allows the cost of the program to be paid over time. It does not alter the scope, structure, or value of the program.
Program Discounts: Any discount applied to a program or package is conditional upon completion of the applicable program, unless otherwise stated in writing. If a Client voluntarily discontinues the program before completion, Services already rendered will be reconciled at their applicable regular, non-discounted rates. Program discounts will not apply to Services rendered prior to early cancellation.
5.1 Program Cancellation and Account Reconciliation
Where a program or package is expressly offered with Mindful Career’s 100% Risk-Free Guarantee, you may discontinue the program at any time during the applicable program validity period without a cancellation penalty.
Upon receipt of a cancellation request, future scheduled installment payments will be stopped as soon as reasonably practicable.
Your account will then be reconciled based on the value of Services rendered, used, completed, initiated, reserved, or otherwise provided as of the effective date of cancellation.
For greater certainty, Services rendered may include:
If the total amount you have paid exceeds the value of Services rendered, you will be eligible for a refund of the difference, less any applicable non-refundable payment processing, transaction, credit card, Stripe, or merchant fees incurred by Mindful Career, to the extent permitted by applicable law.
If the value of Services rendered exceeds the total amount you have paid, the outstanding difference will remain payable to Mindful Career.
Once the account has been reconciled and any outstanding balance paid, you will have no further obligation to pay for the unused portion of the discontinued program.
The Risk-Free Guarantee applies only where expressly stated in the applicable program offer, registration materials, invoice, checkout page, or written correspondence from Mindful Career.
5.2 Program Pauses
Clients may request a temporary pause of their program for up to fourteen (14) days. Before a pause is approved, the Client’s account must be current for all Services rendered as of the requested pause date.
A pause temporarily suspends future payment plan installments but does not cancel the program or affect amounts owing for Services already rendered.
Unless otherwise approved by Mindful Career in writing, payment plan installments will automatically resume at the end of the fourteen (14) day pause period.
Requests to extend a pause beyond fourteen (14) days must be submitted to and approved by Mindful Career in writing.
6. Automatic Payments and Recurring Billing
If you enroll in a payment plan or any automatically renewing or recurring billing arrangement made available through the Platform, you expressly authorize Mindful Career and its payment processors to charge the payment method you provide for the amounts and at the frequency disclosed to you at the time of purchase.
This authorization continues until all amounts properly owed are paid or the arrangement is discontinued or canceled in accordance with these Terms and applicable law.
Where the applicable purchase is covered by Mindful Career’s 100% Risk-Free Guarantee and you elect to discontinue the program, future installments will be stopped as soon as reasonably practicable and your account will be reconciled in accordance with Section 5.1.
Cancellation or discontinuation will not reverse charges properly attributable to Services already rendered.
You agree to maintain current, valid payment information while amounts remain payable.
7. Cancellation, Rescheduling, and Refund Policy
7.1 Notice Requirement
Cancellations or rescheduling requests for individual sessions must be submitted at least seventy-two (72) hours before the scheduled session.
7.2 Late Cancellation and No-Show Policy
Sessions canceled, missed, or rescheduled with less than seventy-two (72) hours’ notice are deemed used, non-refundable, and non-transferable, except to the extent required by applicable law.
Such sessions will be considered Services rendered for purposes of any account reconciliation following program cancellation.
7.3 Program Cancellation and Refunds
Where a program is expressly covered by Mindful Career’s 100% Risk-Free Guarantee, you may discontinue the program during its applicable validity period.
There is no cancellation penalty for discontinuing an eligible program.
Following cancellation, your account will be reconciled in accordance with Section 5.1 based on Services rendered as of the effective cancellation date.
If you have paid more than the value of Services rendered, the applicable difference will be refunded, less any applicable non-refundable payment processing, transaction, credit card, Stripe, or merchant fees incurred by Mindful Career, to the extent permitted by applicable law.
If the value of Services rendered exceeds the amount paid, the outstanding balance will remain payable.
Services already rendered are non-refundable, except where otherwise required by applicable law.
7.4 Services Rendered
For greater certainty, any session attended, missed, or canceled within the applicable cancellation window, and any assessment, report, onboarding activity, profile review, preparation, analysis, or other individualized work initiated or performed on your behalf, shall be deemed Services rendered.
No refund, credit, or reversal will be available for Services rendered, except where otherwise required by applicable law.
7.5 Processing and Merchant Fees
You acknowledge and agree that payment processing and merchant fees are charged by third-party providers and may be incurred by Mindful Career at the time payment is processed.
These fees may be non-recoverable by Mindful Career.
Where a refund is otherwise payable following cancellation or account reconciliation, the refund may be reduced by applicable non-refundable payment processing, transaction, credit card, Stripe, or third-party merchant fees incurred in connection with the payment, to the extent permitted by applicable law.
These amounts represent third-party processing costs and are not a cancellation penalty.
7.6 Service Validity and Expiry
Unless otherwise agreed in writing, all Services must be used within the following timelines:
Clients are responsible for scheduling and completing Services within the applicable validity period.
Any unused portion remaining after the applicable validity period expires will be automatically forfeited without refund, credit, extension, or transfer, except where otherwise required by applicable law or expressly agreed to in writing by Mindful Career.
For programs covered by the Risk-Free Guarantee, any request to discontinue the program and receive an account reconciliation must be made before the applicable validity period expires.
The Risk-Free Guarantee does not create a right to a refund for Services that have already expired.
7.7 Written Program-Specific Terms
Mindful Career may provide specific written payment, cancellation, refund, or program terms in connection with a particular program, package, promotion, or client engagement.
Where such written terms expressly differ from these general Terms and Conditions, the specific written terms will govern the applicable purchase to the extent of the inconsistency, subject to applicable law.
7.8 Outstanding Payments
If any charge is declined, reversed, returned unpaid, or remains overdue, you remain responsible for any amount properly outstanding under these Terms.
Mindful Career may suspend future bookings or access to Services until outstanding amounts are paid.
Where permitted by applicable law, you also agree to reimburse reasonable third-party costs actually incurred by Mindful Career to collect overdue amounts, excluding legal fees unless awarded or otherwise recoverable by law.
8. Independent Providers
Career Coaches, Career Consultants, counselors, advisors, and other professionals providing Services through Mindful Career may be independent contractors rather than employees of Mindful Career.
To the extent permitted by applicable law, Mindful Career does not control or guarantee the independent professional judgment, recommendations, or methods of an independent provider.
Clients are encouraged to exercise independent judgment and discretion in evaluating recommendations and Services.
Nothing in these Terms eliminates any rights or remedies that cannot lawfully be waived under applicable law.
9. Intellectual Property
The Platform, Services, assessments, frameworks, reports, materials, and all related content are the intellectual property of Mindful Career or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, reproduce, distribute, sell, publish, modify, reverse engineer, commercially exploit, or create derivative works based on the Platform, Services, or content without Mindful Career’s prior written consent.
Mindful Career grants you a limited, revocable, non-transferable, non-exclusive license to access and use applicable materials solely for your personal use in connection with the Services.
10. Disclaimers
The Platform, Services, and content are provided “as is” and “as available,” without warranties of any kind, express or implied, except for warranties that cannot be disclaimed under applicable law.
To the fullest extent permitted by applicable law, Mindful Career disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Mindful Career does not guarantee uninterrupted or error-free access to the Platform, nor does it guarantee that defects will be corrected.
Use of the Platform and Services is at your own risk.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Mindful Career and its affiliates, licensors, suppliers, officers, directors, contractors, and service providers shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunity, or goodwill, arising from or related to use of the Platform or Services.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
12. Privacy
Mindful Career respects your privacy. Personal information collected in connection with the Platform and Services is processed in accordance with applicable privacy laws and Mindful Career’s Privacy Policy.
Mindful Career may use third-party service providers and technology platforms for purposes including client intake, scheduling, communications, customer relationship management, payment processing, assessments, and the administration and delivery of Services.
These providers may collect, store, or process personal information in accordance with their applicable privacy and data-processing terms.
Mindful Career does not retain full payment-card details where payment information is processed directly by third-party payment processors.
Mindful Career takes reasonable measures to protect personal information within its custody or control and will provide notification of a data or privacy breach where required by applicable law.

13. Termination
Mindful Career reserves the right, subject to applicable law, to terminate or suspend access to the Platform or Services for violation of these Terms, non-payment, misuse of the Platform, abusive or inappropriate conduct, or other legitimate business or safety reasons.
Mindful Career may modify, suspend, or discontinue the Platform or Services subject to applicable contractual and legal obligations.
14. Dispute Resolution and Arbitration
Except where prohibited by applicable law and where disputes cannot be resolved amicably, all disputes, controversies, or claims arising out of or relating to the Services or these Terms shall be resolved by binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (“ICC Rules”).
The following provisions shall apply:
To the maximum extent permitted by applicable law, each party agrees that arbitration shall be conducted only on an individual basis and not as a class, collective, mass, consolidated, private attorney general, or representative action.
To the maximum extent permitted by applicable law, each party waives any right to a jury trial and any right to participate in a class or representative action.
Arbitration proceedings shall be private and confidential except where disclosure is required by law, necessary for enforcement, or otherwise permitted under the ICC Rules or applicable law.
If any portion of this Section is found unenforceable as to a particular claim or request for relief, that claim shall proceed only to the extent required by applicable law, and the remainder of this Section shall remain enforceable to the fullest extent permitted by law.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada and the federal laws applicable therein, without regard to conflict-of-law principles, except to the extent preempted, superseded, or otherwise limited by applicable mandatory law.
16. Changes to Terms
Mindful Career reserves the right to update or modify these Terms from time to time.
Updated Terms become effective upon posting on the Platform and, where required by applicable law, upon additional notice or consent.
Continued use of the Platform or Services after changes become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
17. General
Mindful Career’s failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
Nothing in these Terms excludes or limits any non-waivable rights available under applicable law.
Notices required to be provided by Mindful Career may be delivered electronically to the email address provided by the Client.
These Terms, together with any applicable written program-specific terms, constitute the agreement between Mindful Career and the Client regarding the applicable Services.
